INNOVATIONS 4 ENTREPRENEURS CONTEST

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS CONTEST. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. ENTRY IS OPEN TO LEGAL RESIDENTS OF THE 50 UNITED STATES OR THE DISTRICT OF COLUMBIA, WHO ARE AT LEAST 18 YEARS OF AGE OR AGE OF MAJORITY, WHICHEVER AGE IS OLDER, WHO OWN AND OPERATE AN INDEPENDENT (NON-FRANCHISED) BUSINESS SATISFYING THE ELIGIBILITY REQUIREMENTS UNDER BELOW SECTION 3 LOCATED IN 1 OF 15 COMCAST SERVICE AREAS IN THE UNITED STATES.

 


1. Contest Dates: The Innovations 4 Entrepreneurs Contest (“Contest”) begins February 1, 2016 at 12:00:00 AM Eastern Time (“ET”), and ends June 6, 2016 at 11:59:59 PM ET (“Contest Period”). During the Contest Period there are a series of events which start and end on or about the dates and times noted below:

2. Contest Entities: : Comcast Cable Communications Management, LLC, 1701 John F. Kennedy Boulevard, Philadelphia, Pennsylvania 19103-2838 ("Sponsor"), Mansueto Ventures LLC, d.b.a. Inc. Magazine, 250 Greenwich Street, New York, NY 10007 ("Inc."). Administrator: Marden-Kane, Inc., 195 Froehlich Farm Blvd., Woodbury, New York 11797 ("Administrator"). Sponsor, Inc., and Administrator are collectively referred to as the "Contest Entities".


3. Eligibility: Contest is open only to persons who, as of date of entry, are legal residents of one of the fifty (50) United States or the District of Columbia at least eighteen (18) years or older (or the age of majority in their state of residence if greater than eighteen (18), whichever age is older), who own an independent, non-franchised, business registered to conduct business in one (1) of the fifty (50) United States or the District of Columbia], which business employs fifty (50) or fewer persons and is located in one (1) of fifteen (15) Comcast service areas (each a "Region" and collectively, "Regions")* in the United States. *Comcast Regions/Divisions are defined as: Greater Indianapolis/Michigan, Greater Southeast, Greater Chicago, Greater South Florida ("Central Division"), Greater Mid-Atlantic, Greater Philadelphia, Greater Boston, Central and Western Pennsylvania, New England ("Northeast Division"), California, Washington State, Oregon and SW Washington,, Minneapolis/St. Paul, Greater Houston ("West Division"), and Colorado/Utah/ New Mexico/Arizona Region. For the specific area covered by each Region visit http://cbcommunity.comcast.com. Entrant’s primary business location must maintain the eligible service location throughout the duration of the Contest Period (up to June 6, 2016). Receipt of Comcast marketing materials does not confirm serviceable eligibility.


This Contest is void outside of the fifteen (15) Comcast Regions located in the fifty (50) United States or the District of Columbia, and where prohibited by law. You do NOT need to be a Comcast customer to enter.


If selected as a Prize Winner (as specified in Section 8 below), Entrants may be asked to provide proof of business ownership in a form deemed acceptable by the Sponsor. In addition to the criteria listed above, to be eligible for this Contest the Entrant must satisfy the definition both of “Owner” and “Eligible Business” as listed below:

  • “Owner”is defined as a person who owns and is the primary decision maker for, and actively been engaged in the day-to-day operation of the business identified in his/her entry form (the "Entrant’s Business") during its existence up to and including June 6, 2016 and continuously owns at least 51% of that business.
  • “Eligible Business” is defined as (i) a business registered to conduct business in one of the fifty (50) United States or District of Columbia; (ii) having its primary physical location residing within a Comcast Region; (iii) being independently owned and operated, sole-proprietary, non-franchised, and not part of any other established parent or partner business(es); (iv) being founded and engaged in active daily operation no later than February 1, 2016 and (v) employing no more than fifty (50) employees (including full-time and part-time employees) as of February 1, 2016.

“Entrant(s)”, as that term is used herein, shall mean any eligible Owner who submits an Entry (as defined in Section 4) into the Contest in accordance with these Official Rules. Entrants must at the time of entry select one of the following entry categories (each a “Submission Category”) under which to submit their entry:

  • “Start-Up” is defined as: an Eligible Business that has been in operation for exactly two (2) years or less than two (2) years.
  • “Entrepreneur” is defined as: an Eligible Business in operation for more than two (2) years.

Employees, officers, directors, shareholders, franchisees, franchisees’ employees, and the immediate family members of the Contest Entities and their respective parents, affiliated and subsidiary companies, advertising and promotion agencies, legal and financial advisors, or affiliate of any of the foregoing are not eligible to enter this Contest. For purposes of this Contest, "immediate family members" means parents, spouses, children, siblings, in-laws, grandmothers, or grandfathers.


Previous Regional and Grand Prize Winners are not eligible to enter or win a prize in the Innovations 4 Entrepreneurs 2016 Contest.


4. How To Enter: To enter the Contest, go to cbcommunity.comcast.com/I4E (the “Contest Website”) during the Entry Submission Period and: 1) complete and submit the entry form by providing all requested information; entry forms must be complete to be eligible; 2) provide an original written description of your business, up to a maximum of fifty [50] words; 3) submit an original written essay (“Essay”) explaining how you, the business owner, could expand on or modify technology to help enhance your business, up to a maximum of two-hundred and fifty [250] words; and optionally 4) submit links with up to five (5) photographs (JPEG or GIF) and/or a link to a video (maximum three [3] minutes in length) that illustrate key points from your essay. No attachments may be submitted. Entries (as defined below) must be written in English language only.


"Entry/Entries", as that term is used herein, shall mean an entry submitted in accordance with these Official Rules and includes the Contest entry form and all related information including the business description, Essay, the optional photographs and video, and information provided by Entrants to Sponsor and/or Administrator in connection with the Contest (such as company contact information, designation if the company is veteran, minority or woman-owned). There is a limit of one (1) Entry per Eligible Business Owner.


Entries may only be submitted online at the Contest Website. At the time of entry, Entrants will have the opportunity to opt-in to receive further communications from the Sponsor and/or Inc. Entrants are not required to opt-in and opting in will not increase your chances of winning. If an Entrant chooses to opt-in, the Entrant thereby grants the Sponsor and/or Inc. permission to send him/her future communications regarding services, incentives, offers, promotions, or other messaging related to the Sponsor’s and/or Inc.’s services. Any information collected from the Contest shall be used only in a manner consistent with the consent given by the Entrants at the time of entry, with these Official Rules, and with the Sponsor’s Privacy Policy found at www.comcast.com/corporate/legal/privacyStatement.html and http://www.inc.com/about/privacy.html.


An Entry may only be submitted by a single individual, the Owner of the Eligible Business. Group entries will not be accepted (e.g., although different individuals might have taken part in the creation of an Entry, and more than one individual may appear in an Entry photo and/or video, only one individual may be considered to have created and submitted the Entry). By entering the Contest, each Entrant represents and warrants that he or she has obtained all of the rights, licenses, and permissions from each person who appeared in or helped to create the Entry.


By entering, each Entrant represents and warrants that his or her Entry, and all elements thereof satisfy all requirements of these Official Rules, and without limitation, represents and warrants that the Entry in this Contest:
(i) is the original work of the Entrant;
(ii) has not previously been published or won an award or prize of any kind;
(iii) does not infringe or violate the rights of any third party, including but not limited to, copyrights, trademarks, patents, trade secrets, logos, contract and licensing rights, rights of publicity or privacy, moral rights, image rights, or any other intellectual property rights;
(iv) is not subject to any third party agreements, and that the Contest Entities will not be required to pay or incur any sums to any person or entity as a result of their use, exhibition, or exploitation of the idea, Entry, or elements therein;
(v) has written proof that required permits from local authorities and other permissions required to produce the Entry have been obtained;
(vi) does not contain any content that is likely to be considered offensive by the Contest Entities or could adversely affect the name, reputation, or goodwill of the Contest Entities;
(vii) does not feature, refer to, or mention any competing brands of the Contest Entities.


By entering this Contest, winners agree to grant the Sponsor, its parents, subsidiaries, and affiliates and their agents and designees, the exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable right to exercise the copyright, publicity, database rights and any other rights Entrant has in the Entry, and also the right and permission to edit, modify, cut, rearrange, add to, delete from, copy, reproduce, translate, dub, adapt, publish, exploit, and use the content of and elements embodied in the Entry, in any media now known or hereafter devised (including without limitation, the Internet), for advertising and promotional purposes without additional compensation, except where prohibited by law. Each Entrant hereby represents and warrants that he/she is the original author/creator of his/her Entry and the Entry will not infringe any third party's copyright, patent, trademark, trade secret, or other proprietary rights or rights of publicity or privacy. Sponsor's use of information submitted to Sponsor in connection with this Contest will be subject to the terms and conditions of these Official Rules. Entries must be received by 11:59:59 PM ET on March 11, 2016 in order to be eligible. The Sponsor's decisions are final on all matters relating to this Contest. If Sponsor and/or Administrator determine in their sole discretion that an Entrant has breached any representation or warranty or any other requirement described in these Official Rules, the entry will be disqualified.


5. Judging to Determine Regional Winners and Alternates:After the conclusion of the Submission Period, all eligible Entries received at the Contest Website will be judged by a panel of judges assembled by the Administrator ("Panel"). The Panel will score (the "Panel Score") each eligible Entry based on the following judging criteria ("Judging Criteria"):

  • Well-articulated overview of current business (Maximum 25 points)
  • How will business Owner expand on, or modify planned use of technology going forward to enhance Owner’s business (Maximum 75 points)

Based on the Panel Scores, the highest scoring Entrants per Comcast Region in each Submission Category (Start-Up and Entrepreneur) will each be deemed a “Regional Winner”, for a total of thirty (30) Regional Winners subject to verification of eligibility and compliance with these Official Rules. The next highest scoring Entries per Comcast Region in each Submission Category (Start-Up and Entrepreneur) are defined as “Regional Alternates”, for a total of 30 Regional Alternates, subject to verification of eligibility and compliance with these Official Rules.


In the event of a tie, all tied entries will be re-judged by an additional judge selected by Sponsor, who, using the Judging Criteria, will break the tie. The judges’ decisions are final and binding in all matters relating to this Contest. All entries are subject to verification of eligibility and compliance with these Official Rules. Sponsor reserves the right to select fewer than thirty (30) Regional Winners and/or fewer than thirty (30) Regional Alternates if, in its sole discretion, it does not receive a sufficient number of eligible and qualified Entries for any applicable Region.


6. Notification of Regional Winners and Alternates: Up to Thirty (30) Regional Winners and thirty (30) Regional Alternates per Region will be notified by mail, phone, or e-mail on or about April 11, 2016 and will be required to sign and properly execute the following documents and return them via e-mail or facsimile (and subsequently by mail per instructions to be provided) to Administrator (Marden-Kane, Inc.) by 3PM ET April 22, 2016: (1) Affidavit of Eligibility and Release; (2) where lawful, a Publicity Release; (3) an Entrant Release Form, (4) Verification of Eligibility (entrant verification as owner of company). If any documents sent by any means to a Regional Winner or Alternate are returned as undeliverable or if a Regional Winner or Regional Alternate fails to properly execute and return all documents described herein in the time noted, or if a Regional Winner or Regional Alternate is found not to be eligible or not in compliance with these Official Rules, the Regional Winner or Regional Alternate will be disqualified and, at the sole discretion of the Sponsor, and the next highest scoring Entry will move up and be notified, time permitting. All Regional Winners and Regional Alternates are considered “Potential” pending submission of required documents and verification of eligibility and compliance with these Official Rules.


7. Public Voting/Determining Grand Prize Winners : Up to thirty (30) Regional Winners and their respective entries will be posted at http://business.comcast.com/i4e/vote. The public vote begins on April 26, 2016 and ends May 13, 2016. Voters are requested to go to http://business.comcast.com/i4e/vote and submit their vote using the judging criteria to critically evaluate the Entries before voting:

  • Well-articulated overview of current business (Maximum 25 points)
  • How will business Owner expand on, or modify planned use of technology going forward to enhance Owner’s business (Maximum 75 points)

Limit of one (1) vote per person/e-mail address per day during the Public Voting Period. Subsequent votes in excess of stated maximum by a single person will be disqualified. Entrants are prohibited from obtaining votes by any fraudulent or inappropriate means or practices and no Entrant or any other person may offer consideration, services, or anything of value in an attempt to further an Entrant's position in the Contest, including without limitation, offering prizes or other inducements to members of the public to collect votes or posting of Entries on voting websites or online forums, as determined by Sponsor in its sole discretion. The use of any automated launching or entry software or any other mechanical or electronic means that permits website visitors to vote repeatedly is prohibited. At the conclusion of the Public Voting Period the Sponsor will convene a 2nd judging panel to score each of the 30 Regional Winners’ entries, include the public vote score, and determine six (6) Grand Prize Winners.


The 2nd round of judging will be based on the the following Judging Criteria:

  • Well-articulated overview of current business (Maximum 25 points)
  • How will business Owner expand on, or modify planned use of technology going forward to enhance Owner’s business (Maximum 50 points)
  • Public Vote (Maximum 25 points)

The Public Vote will account for up to 25 points awarded to the Entry with the greatest number of votes from the Public Vote. In each Submission Category (Start-Up and Entrepreneur), each subsequent Entry with the next highest number of votes will receive one less point than the preceding Entry (e.g. the Entry receiving the highest vote count will receive 25 points, the 2nd highest vote count will receive 24 points, 3rd highest 23 points etc.) The five (5) Entries in each Submission Category (Start-Up and Entrepreneur) with the lowest public vote scores will each receive 1 point.


In the event of a tie, each tied Entry will receive the maximum number of points allowed by his/her vote total (e.g. if two Regional Winners are tied for the second highest number of votes, each tied Entry will receive 24 points). Upon verification of the results from the Public Vote, the Sponsor will determine the six (6) Grand Prize Winners by adding the results of the Public Vote Score (maximum 25 points) and the Judging Panel Score (maximum 75 points). In the event of a tie for determining the Prize Winners, all tied entries will be re-judged by an additional judge selected by Sponsor, who, using the Judging Criteria will break the tie. The judges' decisions are final and binding in all matters relating to this Contest.


Notwithstanding the above, the Sponsor reserves the right to choose an alternate prize winner(s) and replace a prize winner(s) if it determines in its sole discretion, that the replaced prize winner(s) has not complied with these Official Rules or in the event Sponsor determines that any consideration, services, or anything of value has been offered in an attempt to further the position of the replaced prize winner’s position in the Contest.


Designation as a Regional or Grand Prize Winner is subject to Entrant’s proof of compliance with these Official Rules, maintaining compliance with these Official Rules, and approval by Sponsor. Entrants acknowledge that other Entrants may have created ideas and concepts contained in their Entry that may have familiarities or similarities to his/her Entry, and that he/she will not be entitled to any compensation or right to negotiate with or receive any compensation from the Contest Entities because of these familiarities or similarities. The Panel’s and Sponsor’s decisions are final and binding in all matters relating to this Contest, including interpretation and application of these Official Rules.


8. Notification of Grand Prize Winners: All Grand Prize Winners will be notified by mail, telephone, and/or email, in Administrator’s sole discretion, on or about May 31, 2016. Grand Prize Winners will be provided with, and will be required to sign and properly execute, a W-9 Tax Form and a Travel Release Form, and return it via facsimile or email to Administrator before any prize will be awarded. If any documents sent to a Grand Prize Winner by any means are returned as undeliverable, or if a Grand Prize Winner fails to properly execute and return all documents described herein in the time noted by the Administrator, or if a Grand Prize Winner is found not to be eligible or not in compliance with these Official Rules, the Grand Prize Winner will be disqualified and the Sponsor will determine who will be selected as the alternate Grand Prize Winner based on the next highest scoring entry as determined by Sponsor. No more than six (6) Grand Prizes will be awarded. Except where prohibited by law, all Entrants agree that Sponsor may announce the name, home city, and state of Prize Winners online. In the event that a Grand Prize Winner is disqualified for any reason, Sponsor reserves the right to award the prize to an alternate Entrant based on the Judging Criteria detailed above even if the disqualified Grand Prize Winner’s name or Entry has been shown or announced online.


9. Prizes:

Regional Winners (Thirty [30]):
There will be two (2) Regional Winners selected per Region (one [1] in each Submission Category - Start-Up and Entrepreneur) for a total of thirty (30) Regional Winners. Each Regional Winner receives: $10,000 cash in the form of a check. to be used at the business owner’s discretion to fuel growth within their business. Approximate Retail Value (“ARV”) of each Regional Winner’s Prize: $10,000.


Grand Prize Winners (Six [6]):
There will be two (2) Grand Prize Winners selected in each of the three (3) Divisions as specified in Section 3 (one [1] in each Submission Category - Start-Up and Entrepreneur) for a total of six (6) Grand Prize Winners. These winners will receive the Regional Prize listed above, plus the following:


$20,000 Cash: in the form of a check to be used at the business owner’s discretion to fuel growth within their business.


Trip for two (2) to Philadelphia, Pennsylvania: Each Grand Prize Winner and one (1) guest will receive a trip for two (2) to Philadelphia, Pennsylvania for two (2) nights in August 2016 (exact date to be determined by Sponsor) to attend Innovations 4 Entrepreneurs Awards Event (“Awards Event”). Trip consists of a 2-Day/2-Night trip to Philadelphia, Pennsylvania and attendance at the Awards Event plus the opportunity to attend VIP events to interact with industry experts and Comcast executives for advice on growing their business. Prize includes round-trip coach air transportation for Winner and guest to Philadelphia, Pennsylvania from a single major U.S. airport nearest Winner’s home (departure airport determined solely by Sponsor); one (1) double occupancy standard hotel accommodations for two (2) nights; admission for Winner and guest to welcome reception and awards dinner event; Meetings with Comcast executives/business leaders; and ground transfers from hotel to Awards Event. Dates of travel are at the sole discretion of Sponsor. Grand Prize Winners may receive less than ten (10) days’ notice prior to trip departure. If any Winner resides within a 100 mile radius of Philadelphia, Pennsylvania ground transportation may be provided for the Winner and guest in lieu of air transportation and no compensation or substitution will be provided for difference in prize value. The Sponsor reserves the right to modify details of the VIP events including changing and/or substituting special guests and experts in its discretion. Estimated retail value of Trip is $4,000. Actual value may vary based on place of departure and dates of travel. ARV of each Grand Prize: $34,000.


All other expenses relating to acceptance of the travel prize not explicitly stated herein, including but not limited to taxes, meals, beverages, alcoholic beverages and gratuities are responsibility of prize winners and guests. Each Winner’s travel must be completed on dates/time limits specified by Sponsor or prize will be forfeited. Specifics of travel packages are subject to availability and at Sponsor’s sole discretion. Complete terms and conditions of trip will be furnished with prize notification. Travel must be made through Sponsor’s agent on a carrier of Sponsor’s choice. Reservations are subject to availability. Travel restrictions, conditions of travel and blackout dates may apply. Travel prizes may not be combined with any other offer and travel may not qualify for frequent flier miles. Prize Winner and guest must travel on the same itinerary and are responsible for obtaining all required travel documents (e.g. acceptable photo ID) where applicable. Failure of Prize Winners and/or guests to obtain proper travel documentation may result in cancellation and loss of travel prize. Guests of Prize Winners must be at least eighteen 18 years of age or must have reached the age of majority in his or her state of residence as of date of travel and must complete, execute, and return a Travel Guest Liability Release, and where lawful, a Travel Guest Publicity Release (collectively, the "Travel Guest Release Forms") prior to issuance of travel documents. Failure to return Travel Guest Release Forms in a timely manner may prevent travel guest from participating in the trip.


Sponsor and/or Administrator and/or any other relevant party, reserves the right to remove or to deny entry to any Prize Winner and/or guest who engages in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person at the Awards Event. All details of Prizes not specified herein shall be determined solely by Sponsor. Prizes are non-transferable; no substitutions or cash equivalents allowed, except at the discretion of the Sponsor in which case a prize of equal or greater value will be awarded. Taxes are the responsibility of the Prize Winners. All costs and expenses relating to acceptance and use of prize, which are not explicitly listed herein as being awarded, are responsibility of Prize Winners. All details of any prize not specified herein shall be determined solely by Sponsor.


Any difference between the estimated and actual value of the any Prize will not be awarded. There is a limit of one (1) prize per Entrant and/or Eligible Business. Winners may elect to decline any part(s) of the prize as offered. Any and all guarantees and warranties for merchandise prizes are subject to the manufacturer’s terms and conditions, and each Prize Winner agrees to look solely to such manufacturer for any such warranty or guarantee claim. Should a winning business have multiple office locations, only one location in a qualifying Comcast Region will be eligible to receive the business-based prizes per the limits defined in these Official Rules. Total estimated retail value of all Prizes is $444,000.


10. Limitation of Liability: By participating in the Contest, Entrants agree to abide by the terms of these Official Rules and the decisions of the Contest Entities and release, indemnify, and hold harmless the Contest Entities and each of their parents, affiliates, subsidiaries and their respective agents, representatives, officers, directors, shareholders, and employees (collectively, "Releasees") from and against any injuries, losses, damages, claims, actions, disruption of business, or any liability of any kind resulting from or arising from participation in the Contest or acceptance of the prize that may be awarded.


THE RELEASEES WILL NOT BE LIABLE FOR ANY INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, WHETHER OR NOT FORESEEABLE, OF ANY KIND INCLUDING BUT NOT LIMITED TO ANY LOST REVENUE, LOSS OF USE, LOSS OF BUSINESS, OR LOSS OF PROFIT ARISING FROM THE ACCEPTANCE OF THE PRIZE.


Entrants agree that this Contest is governed, interpreted, and enforced by the laws of the State of Pennsylvania, without regard to its conflict of laws principles. Any and all legal actions, claims or proceedings arising out of, or in connection with this Contest must be brought in a court of competent jurisdiction in the State of Pennsylvania. The Contest Entrant and all persons making claim through or on account of the Contest Entrant, hereby agrees to and irrevocably consents to the venue of the applicable state or federal courts sitting in Pennsylvania and submits to the jurisdiction of said courts.


Releasees are not responsible for printing or typographical errors in any Contest-related materials; or for transactions that are lost, misdirected, fail to enter into the processing system, or are processed, reported, or transmitted late or incorrectly, or are lost for any reason including computer, telephone, paper transfer, mail system, human or other error; or for electronic, computer, or telephonic malfunction or error, access any website associated with this Contest, or process any transaction thereon. Sponsor reserves the right, in its sole discretion to disqualify any Entry and to modify, terminate, or suspend this Contest should virus, bugs, non-authorized human intervention, action of Entrants, or other causes corrupt or impair the administration, security, fairness, or proper play of the Contest and, if the Contest is modified, terminated, or suspended, select winners from those eligible, non-suspect entries received prior to the event requiring such modification, termination, or suspension. Should the Contest be terminated or modified prior to the stated expiration date, notice will be posted on the Contest Website. Any attempt by an Entrant or any other individual to deliberately damage any website or undermine the legitimate operation of the Contest is a violation of criminal and civil laws and should such an attempt be made, the Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. Any attempts by an individual to access any website associated with this Contest via a bot script or other brute force attack or any other unauthorized means will result in the IP address becoming ineligible. Use of automated entry devices or programs is prohibited.


11. Binding Arbitration: The parties waive all rights to trial in any action or proceeding instituted in connection with these Official Rules and/or this Contest. Any controversy or claim arising out of or relating to these Official Rules and/or this Contest shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in the State of Pennsylvania, in the City of Philadelphia, and judgment on the arbitration award may be entered into any court having jurisdiction thereof.


12. Acknowledgment by Entrants: EACH ENTRANT ACCEPTS THE CONDITIONS STATED IN THESE OFFICIAL RULES, AGREES TO BE BOUND BY THE DECISIONS OF THE SPONSOR AND PUBLIC VOTING, WARRANTS THAT HE/SHE IS ELIGIBLE TO PARTICIPATE IN THIS CONTEST, AND AGREES TO RELEASE, INDEMNIFY, AND HOLD HARMLESS CONTEST ENTITIES AND EACH OF THEIR PARENT COMPANIES, DIVISIONS, SUBSIDIARIES, AFFILIATES, ADVERTISING, PROMOTION, AND PUBLIC RELATIONS AGENCIES, AND THE RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENCIES OF EACH FROM AND AGAINST ANY AND ALL CLAIMS, LOSSES, LIABILITY, AND DAMAGES OF ANY KIND, (INCLUDING REASONABLE ATTORNEYS' FEES AND EXPENSES) ASSERTED AGAINST ANY OF THEM, INCURRED, SUSTAINED, OR ARISING IN CONNECTION WITH THE USE, ACCEPTANCE, OR MISUSE OF ANY PRIZE OR WHILE PREPARING FOR, PARTICIPATING IN, AND/OR TRAVELING TO OR FROM ANY CONTEST-RELATED ACTIVITY, INCLUDING, WITHOUT LIMITATION, ANY INJURY, DAMAGE, DEATH, LOSS, OR ACCIDENT TO PERSON OR PROPERTY, OR FROM THE RESPECTIVE ENTRANTS' BREACH OR ALLEGED BREACH OF ANY AGREEMENT OR WARRANTY ASSOCIATED WITH THE CONTEST, INCLUDING THESE OFFICIAL RULES. ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND, SHOULD SUCH AN ATTEMPT BE MADE, THE CONTEST ENTITIES AND EACH OF THEIR LICENSEES RESERVE THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR ANY SUCH ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.
